Terms of Service

1. Agreement to Terms

By accessing or using the Baylee platform ("Service"), operated by Baylee LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Baylee provides a no-show and late-cancellation protection tool for home service contractors. The Service allows contractors ("Contractors") to send appointment confirmations to their customers ("Customers"), collect card-on-file authorization, and automatically charge cancellation fees when Customers fail to keep confirmed appointments.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. By using the Service, you represent and warrant that you meet these requirements.

4. Contractor Accounts

When you create an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account and for all activities that occur under it. You must notify us immediately of any unauthorized use.

5. Payments and Fees

There is no monthly subscription fee. Baylee charges a flat fee of $10 per successfully collected no-show or late-cancellation fee. Contractors set their own cancellation fee amounts. All payment processing is handled through Stripe. By using the Service, you agree to Stripe's Terms of Service and Connected Account Agreement.

6. Cancellation Fees and Disputes

Contractors are responsible for setting reasonable cancellation fee amounts and communicating cancellation policies to their Customers. Baylee facilitates the collection of fees based on the Contractor's settings but does not determine whether a fee is justified. In the event of a payment dispute or chargeback, Baylee will provide available evidence (confirmation timestamps, policy acceptance records) to support the Contractor's case, but cannot guarantee the outcome of any dispute.

7. Customer Card Information

All card information is collected and stored by Stripe. Baylee does not store, process, or have access to full card numbers. Contractors agree not to request or collect card information outside of the Baylee platform for the purpose of charging cancellation fees.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Charge fees for appointments that were not legitimately missed or late-cancelled
  • Misrepresent your identity, business, or the nature of services provided
  • Interfere with or disrupt the Service or its infrastructure
  • Attempt to gain unauthorized access to other accounts or systems

9. Limitation of Liability

To the maximum extent permitted by law, Baylee LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, lost profits, or business interruption, arising from your use of or inability to use the Service. Our total liability shall not exceed the fees paid by you to Baylee in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any particular payment collection will be successful.

11. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. You may delete your account at any time. Upon termination, your right to use the Service ceases immediately. Pending or completed transactions will be settled according to Stripe's policies.

12. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.
